1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Lotus Villas ("Company," "we," "us," or "our") governing your use of our website and villa rental consultation services in Phuket, Thailand.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please discontinue use of our services.

2. Definitions

For the purposes of these Terms:

• "Services" refers to all villa rental consultation, property matching, and related services provided by Lotus Villas
• "Client" or "you" refers to the individual or entity engaging our Services
• "Property Owner" refers to the legal owner or authorized representative of rental properties

• "Agreement" refers to these Terms and any service-specific agreements entered into

3. Acceptance and Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

For corporate clients, the individual accessing our Services represents that they have authority to bind the entity to these Terms.

4. Description of Services

Lotus Villas provides the following services:

• Villa rental consultation and property matching
• Property viewing coordination
• Communication facilitation between clients and property owners
• Lease documentation review and guidance
• Ongoing lifestyle support (where applicable to service level)

We act as consultants and facilitators. We are not property owners, landlords, or guarantors of rental agreements. Final rental agreements are established between clients and property owners.

Service availability may vary based on property availability, seasonal demand, and other factors. We reserve the right to modify or discontinue services with reasonable notice.

5. Client Responsibilities

5.1 Accurate Information

You agree to provide accurate, current, and complete information during consultations and throughout our engagement. Inaccurate information may affect our ability to provide suitable recommendations.

5.2 Respectful Communication

You agree to communicate respectfully with our team and property owners. Abusive, threatening, or discriminatory behavior will result in immediate termination of services without refund.

5.3 Compliance with Laws

You are responsible for compliance with all applicable Thai laws and regulations, including visa requirements, rental agreements, and local ordinances.

5.4 Property Viewings

You agree to attend scheduled viewings punctually or provide reasonable notice of cancellation. Repeated no-shows may result in service limitations.

6. Service Fees and Payment

Service fees are outlined in our service descriptions and confirmed in individual service agreements. All fees are quoted in Thai Baht (฿) unless otherwise specified.

6.1 Payment Terms

Payment is due as specified in your service agreement. We accept bank transfers and other payment methods as communicated. Late payments may incur service delays.

6.2 Refund Policy

Service fees are non-refundable once consultation has commenced, except where we fail to provide agreed services. Refund requests must be submitted in writing to [email protected] within 14 days of payment.

6.3 Third-Party Costs

Our service fees do not include property rental payments, deposits, or other costs payable to property owners. These are separate arrangements between you and property owners.

7. Intellectual Property Rights

All content on our website, including text, graphics, logos, images, and software, is the property of Lotus Villas or our licensors and is protected by copyright and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. Limited use for personal, non-commercial purposes is permitted.

8. Disclaimers

Our Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding:

• The accuracy or completeness of property information provided by owners
• The suitability of any particular property for your needs
• The behavior or reliability of property owners
• Uninterrupted or error-free service

We provide consultation and facilitation services but cannot guarantee specific outcomes. Property rental decisions and agreements are made at your discretion and risk.

We are not licensed real estate agents and do not provide legal, financial, or tax advice. We recommend consulting appropriate professionals for such matters.

9. Limitation of Liability

To the maximum extent permitted by law, Lotus Villas shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.

Our total liability for any claims arising from our Services shall not exceed the total fees paid by you for the specific service giving rise to the claim.

We are not liable for disputes between clients and property owners, property condition issues discovered after rental commencement, or any losses arising from third-party actions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Lotus Villas, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate our service engagement with written notice. Termination does not relieve you of payment obligations for services already provided.

We reserve the right to terminate services immediately if you breach these Terms, engage in fraudulent activity, or act in a manner we deem inappropriate or harmful to our business or reputation.

12. Confidentiality

We maintain confidentiality of client information as outlined in our Privacy Policy. Both parties agree to keep confidential any proprietary or sensitive information learned during our engagement.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Thailand. Any disputes shall be subject to the jurisdiction of Thai courts.

13.2 Informal Resolution

13.3 Formal Proceedings

If informal resolution fails, disputes shall be resolved through the courts of Phuket, Thailand, with both parties submitting to exclusive jurisdiction.

14. General Provisions

14.2 Entire Agreement
